Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and AIPEOPLE Private Limited (“we”, “us”, “AIPEOPLE”), operator of the Herely application (a product of AIPEOPLE), for use of the Herely app and related APIs, websites, and cloud services (the “Service”).

By creating an account, checking that you accept these Terms and the Privacy Policy on sign-up, or using the Service, you agree to these Terms. If you do not agree, do not use Herely.

We may update these Terms. The version shown here is identified as policy version 2026-10-17. Continued use after an update that we make available in the app or at this URL means you accept the revised Terms, unless applicable law requires additional consent.

2. Eligibility and accounts

You must be at least 16 years old (or the higher age we display in the app if our legal configuration changes) to use Herely. During profile setup we may ask for your age to enforce this rule.

You agree to:

• register with a valid email address and keep your password secret;
• confirm your email with the one-time code we send when required;
• use only one account unless we expressly allow otherwise;
• tell us promptly if you believe your account has been compromised.

Authentication is provided through Amazon Cognito. You are responsible for activity under your credentials. We may refuse, suspend, or close accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

3. What Herely does

Herely is an inventory tool for homes, shops, labs, and small workplaces. After you sign in, you can:

• set up a profile (display name, place / location name, photo, preferred currency, age);
• create storages (rooms, boxes, or areas) and add products with photos, descriptions, quantities, condition, and estimated values;
• add items one at a time or in a batch by photographing objects and reviewing suggested detections or crops (including match scores you can edit before saving);
• browse categories, search your inventory, and view valuation summaries by location, storage, or category;
• view your plan, usage, and (when store billing is enabled) manage in-app purchases on the Account tab;
• request deletion of your account, and request a downloadable copy of your data on any plan (including Free).

The Service is intended for organising your own inventory. It is not a professional appraisal, insurance policy, tax filing tool, marketplace, or full warehouse-management / ERP system unless we later offer those features under additional terms.

We may temporarily put the Service into maintenance mode. When maintenance is active, the app may show a message and normal API use may be paused until maintenance ends.

4. Photos, detection, and estimates

You may capture or upload images of your belongings, profile picture, and storage. Images are processed (including compression) and stored so we can show your inventory and run object detection.

Batch and single-item detection uses automated models to suggest objects, crops, names, categories, or values. Those suggestions are estimates only. You must review, correct, or reject them before relying on them. We do not warrant that detection is complete, accurate, or suitable for insurance, sale, customs, or legal proof of ownership or value.

Detection capacity is shared and may be rate-limited (including a limit on how many detections run at the same time). If the Service is busy, you may need to try again shortly.

Valuation totals in the app are sums of values you enter or that the Service suggests. Currency display is for convenience. We are not responsible for exchange-rate differences or third-party price data.

You must only upload content you have the right to use. Do not upload images of other people without a lawful basis, illegal material, or content that infringes others’ rights.

5. Your content and licence

You retain ownership of inventory data, photos, names, descriptions, and other material you submit (“User Content”).

You grant us a worldwide, non-exclusive licence to host, copy, process, transmit, and display User Content solely to operate, secure, improve, and provide the Service (including backups, object detection, search, valuation reports, and data export you request). This licence ends when your User Content is deleted from our systems, except for copies retained as required by law, dispute resolution, or security logs.

You represent that your User Content is accurate to the best of your knowledge and does not violate law or third-party rights.

6. Plans, quotas, and cloud storage

Herely offers a Free plan and paid Basic and Premium plans (monthly or yearly). When enabled, paid plans are sold through the Apple App Store and/or Google Play. The stores process payment; their terms also apply to purchases. Until store billing is enabled for your region or account, paid upgrades may be unavailable and Free plan limits apply.

Current product caps (server limits control if they differ from the app):

Yearly paid plans still use the monthly detection allowance each calendar month (UTC). If you exceed a quota, the Service may block that action until you upgrade, wait for a reset, or free space.

Data retention on Free

• If you have never had a paid plan, inventory may be purged after 14 days from account creation (or as shown in the app).
• If a paid plan expires and you return to Free, inventory may be retained for 40 days after expiry, then purged. Login and payment history may be kept as needed to run billing and prevent abuse.

We may change plan names, prices, or quotas with notice in the app or store listing, subject to store rules and applicable law.

7. Subscriptions, billing, and restore

When paid access is offered, it is typically an auto-renewing subscription unless the store listing says otherwise. Manage, cancel, or request a refund through Apple or Google according to their policies. We do not control store refunds.

The app may offer Restore purchases so we can re-verify entitlements with the store and our billing API. Restoring does not create a new charge by itself.

Prices shown in the app come from the store. Taxes may apply. Failure to pay or a chargeback may downgrade you to Free and apply Free retention rules.

8. Acceptable use

You must not:

• probe, overload, or interfere with the Service or other users;
• circumvent plan limits, authentication, or usage metering;
• use detection or APIs to build a competing service or to process others’ data at scale without permission;
• upload malware or attempt unauthorised access to accounts or systems;
• use Herely for unlawful surveillance or to inventory stolen goods.

We may rate-limit, throttle detection, or take down content that violates these rules.

9. Privacy

How we collect and use personal data is described in our Privacy Policy (use the URL we publish in the app if different). By accepting these Terms you also acknowledge that policy. We record Terms and Privacy acceptance (including policy version) when you sign up.

10. Account deletion and data export

You may request account deletion in Settings. We then schedule deletion and keep the account recoverable for 7 days. During that window, sign in and tap Restore my account to cancel deletion and restore the account.

If you do not restore within 7 days, the account and associated inventory data are permanently deleted (including the Cognito user), except information we must keep by law or for billing disputes (billing-related records may be retained longer, typically up to about 180 days, then removed).

Data export (a downloadable archive, typically emailed when ready, with a link that expires in about 24 hours) is available on any plan, including Free. You may also request or download again from the app during the 7-day deletion recovery window.

11. Third-party services

The Service depends on providers such as Amazon Web Services (hosting, Cognito, object storage for images), Apple, Google, and connectivity on your device. Their outages or terms can affect Herely. Offline or “no internet” states in the app mean some features will not work until you reconnect.

12. Intellectual property

Herely, its name, logos, design, software, and documentation are owned by us or our licensors. These Terms do not transfer those rights. You may not copy, reverse engineer (except where the law allows), or redistribute the app except as needed to use it on your devices.

13. Disclaimers

The Service is provided “as is” and “as available.” We do not warrant uninterrupted access, error-free detection, or that stored values match market prices. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or inventory value, arising from your use of Herely.

Our total liability for claims relating to the Service is limited to the greater of (a) the amounts you paid us for Herely in the 12 months before the claim or (b) fifty US dollars (or equivalent), except where law forbids this cap (including liability for death, personal injury, or fraud caused by our negligence).

15. Indemnity

You will defend and indemnify us against claims arising from your User Content, your misuse of the Service, or your breach of these Terms, except to the extent a claim is caused by our wilful misconduct.

16. Termination

You may stop using Herely at any time and may delete your account as described above. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service (with reasonable notice where practicable). Sections that by nature should survive (including licences to the extent needed for wind-down, disclaimers, and liability limits) survive termination.

17. Governing law

These Terms are governed by the laws of India, without prejudice to any mandatory consumer rights that apply to you under the law of your country or region of residence (including under applicable Indian consumer protection law). Nothing in these Terms limits those mandatory rights.

Subject to those mandatory rights, courts at Lucknow, Uttar Pradesh, India shall have jurisdiction over disputes arising out of or relating to these Terms or the Service.
